SEO Agreement and Services Contract

It is important that you, the client, and SEO Scotland fully understand the intended outcomes of the SEO campaign and that those outcomes are clearly documented. This agreement explicitly outlines the requirements of both client and supplier, expected timescale, campaign objectives, target keywords, when payments are to be paid and how much.

1. Definitions

1.1 ‘The Client’ covers all employees and shareholders of your company.
1.2 'SEO Scotland Dot Net’ covers all employees and shareholders of SEO Scotland Dot Net.
1.3 ‘The Target Website’ refers to www.yourwebsite.com.

2. Requirements of The Client.

To implement this SEO Agreement and Services Contract SEO Scotland Dot Net requires conformation from The Client that:

2.1 The Client will not employ the services of another search engine optimisation company, web promotion company or online marketing company to work on 'The Target Website' while this SEO Agreement and Services Contract is in place.

2.2 The Client will not employ the services of a search engine submission company while this SEO Agreement and Services Contract is in place.

2.3 The Client will not create duplicate sites, redirects or doorway pages while this SEO Agreement and Services Contract ii in place.

2.4 The Client has not requested or exchanged links with link farms or undertaken any unethical practice which may harm The Target Websites ranking with Google prior to the commencement of this SEO Agreement and Services Contract .

2.5 SEO Scotland Dot Net requires access to either The Target Website logs or analytical software if installed .

2.6 Other than positions achieved by SEO Scotland Dot Net, The Client will not share information about the optimisation of The Target Website with any third parties or organisations unless specifically instructed to do so by SEO Scotland Dot Net.

3. Requirements of SEO Scotland Dot Net

3.1 SEO Scotland Dot Net will not use Search Engine Optimisation techniques that are contrary to Google, Yahoo or MSN webmasters guidelines.

3.2 SEO Scotland Dot Net will not undertake the optimisation of any website within the same industry or that of a direct competitor of The Client while this SEO Agreement and Services Contract .

3.3 Other than positions achieved on behalf of The Client, SEO Scotland Dot Net will not share information about the optimisation of the target site with any third parties or organisations unless specifically instructed to do so by The Client.

4. Keyword Research

4.1 SEO Scotland Dot Net will undertake in depth keyword research on behalf of the client.

4.2 The client can choose which keyphrases to target.

4.3 The client can choose to target Keyphrases via multiple campaigns over time.

4.4 A minimum of five keyphrases is required for any SEO campaign undertaken by SEO Scotland Dot Net.

4.5 The client is not bound to the use keywords discovered by SEO Scotland Dot Net and can at any time chose to target keyphrases of their own choice.

5. Price and Payment

5.1 Each keyword will be priced individually according to its level of competitiveness.

5.2 Payment for each keyphrase will become payable when that keyphrase has ranked on the front page of Google for 14 consecutive days. 

6. Agreed Target Keywords

6.1 A list of your target keywords will appear here...

7. Results

7.1 'Top 10 ranking' means that The Target Website ranks for an Agreed Target Keyword within the first 10 results on Google.co.uk or Google.com for 14 consecutive days.  

7.2 Once a Keyword achieves a Top Ten Ranking 'The Client' has the option to set up a maintenance contract with SEO Scotland Dot Net to monitor and maintain positions on an ongoing basis.

8. English Language Search Engines

8.1 For SEO campaigns aimed at raising the visibility of The Target Website amongst UK consumers The Client can choose whether this guarantee/contract is based on:

  • google.co.uk (Regional and Web Results when viewed from a UK IP)
  • google.com (When viewed from a UK IP)
  • or both

8.2 For SEO campaigns aimed at raising visibility of The Target Website amongst consumers in foreign territories (where Google is the dominant search engine) The Client can choose Google's localised service. For example:

  • google.au.com (Regional and Web Results viewed from Australian based IP)
  • google.com (When viewed from Australian based IP)
  • or both

None of the above affects your statuary legal rights.

Caveat Emptor

  • never do business with an SEO that is secretive about their methods
  • always insist that your SEO gives a written SEO Agreement and Services Contract that includes pricing and campaign goals
